Over the past 19 years Mr. Weil has worked closely with many tax exempt organizations, association management companies and small businesses in the capacity of out-sourced general counsel. Among his many exempt organization clients are public charities, trade associations, professional societies and private foundations. Mr. Weil also works with a number of association management companies, providing legal services to their exempt organization clients.
In his practice Mr. Weil has assisted clients with the formation of a number of exempt organizations. Starting with incorporation of the exempt organization and the creation of its governing bylaws, Mr. Weil works with the client to complete and file the appropriate IRS application for tax exempt status. Part of the application process includes the development of IRS required policies, including conflict of interest, document retention and whistle-blower policies, and where appropriate, confidentiality and antitrust compliance policies. Following submission to the IRS, Mr. Weil responds to any IRS inquiries that may arise with regard to the application.
In addition to assisting clients with the formation of exempt organizations, Mr. Weil works with his exempt organization and small business clients on a variety of day-to-day legal and business related issues, including corporate governance and administration, officer and director duties and responsibilities, exempt organization tax issues, drafting and reviewing executive contracts and consulting agreements, review and negotiation of vendor contracts, employment practices and procedures, insurance and the development of strategies for reducing employment-related and officer and director liability claims, exempt organization certification and accreditation programs, trade, service and certification mark registrations and antitrust compliance.
